Due diligence is a core element and milestone in any company sale and refers to the careful examination of various areas, such as finances, law and taxes, performed by the buying party. It usually takes place at an advanced stage of the process, in parallel to drafting the purchase contracts.

Due diligence can be viewed as the ultimate moment of truth, with a focus on even the smallest details. The buyer and the seller need to prepare themselves, and compile documents and information. These are then placed in a data room and can be viewed by the buyer.

The work involved in DD activities can be very extensive as well as expensive for both parties, especially when the buyer asks specialised consultants to provide an assessment. It is therefore always important to ensure that both parties get good value for money.
